Terms of Service

These terms govern your use of TIDE. By redeeming an access code, completing a diagnostic, or otherwise using the service, you agree to them. They're written in plain English; if anything is unclear contact us at paul@thwaite.me.uk.
1. Definitions
- "Itarck Ltd", "we", "us"— Itarck Ltd, a company registered in England & Wales (company number 12930155), registered office Mansion House, Manchester Road, Altrincham, Cheshire, WA14 4RW, operating the TIDE service under the TIDEOS brand.
- "TIDE", "the service" — the Transformation Readiness Diagnostic, an AI-facilitated assessment accessible at the TIDE web application.
- "You", "the user" — the individual or organisation using TIDE under an access code or other permitted route.
- "Diagnostic" — a single completed assessment session, including the facilitated conversation, scoring, and report.
- "Voucher", "access code" — a code we issue that entitles a single use of the paid Full Diagnostic.
- "Report" — the written output produced at the end of a Diagnostic (PDF and on-screen formats).
2. Acceptance + scope
These terms apply to all access routes to TIDE, including the free Directional Signal (Tier 1), the paid Full Diagnostic (Tier 2), and any consultancy add-on you book through the service.
You confirm you have authority to accept these terms on behalf of any organisation you name in a Diagnostic, and that the information you provide is accurate to the best of your knowledge at the time.
3. The service we provide
We use commercial best efforts to keep TIDE available and functioning as described. We do not promise uninterrupted availability. The service may be unavailable from time to time for maintenance, upgrades, or reasons outside our control.
We may improve, change, or remove features. Material changes that affect an in-flight Diagnostic will be communicated to the facilitator email address you provide.
4. How TIDE uses AI
TIDE is an AI-facilitated diagnostic. The rigour comes from a structured methodology built by experienced transformation practitioners; AI is how we make that methodology available consistently and at depth to every organisation that uses it. This section sets out exactly where AI sits in the service.
The facilitator you interact with is an AI
Your Diagnostic is conducted by an AI facilitator built on a leading large language model, operating under TIDE's methodology, question set, and scoring framework. It asks questions, probes your answers, and guides the session the way a skilled facilitator would. We tell you this at the start of every session. The current model provider is named in our Privacy Policy.
Your Report is generated by AI from your responses
The findings, scores, risk flags, and narrative in your Report are produced by TIDE's diagnostic engine — an AI pipeline applying our methodology to what your team said during the session. Reports carry a visible mark identifying them as AI-generated.
What the AI does, and what it does not
TIDE gives you an evidence-based, indicative read of your organisation's transformation readiness. It is a decision-support diagnostic, not professional, legal, financial, or regulated advice, and it does not replace specialist due diligence or your own judgement — see § 8 (Limitation of liability).
It assesses organisations, not people. TIDE does not make automated decisions about any individual, and it does not score or rank individuals.
How your data is handled
We process what you tell TIDE to run your Diagnostic and produce your Report. Our Privacy Policy explains how that data is handled, including which sub-processors are involved and where processing happens.
Where human judgement sits
Human judgement shapes TIDE at the two points that carry the most weight: the methodology, scoring framework, risk-flag taxonomy and report structure are designed and maintained by people at Itarck Ltd, and the decisions you take from a Report are yours.
Between those two points the process runs automatically. An individual Report is not reviewed by a person before you receive it, which is one reason § 8 frames it as indicative rather than advice.
5. Assessment ownership and intellectual property
Your data and your Report
The Diagnostic content you provide (programme name, descriptions, your responses) remains yours. The Report we generate is yours to use within your organisation for internal decision-making, including sharing with your senior team, advisors, and board.
You may not republish or share the Report externally as your own work, or strip our branding from it.
Our methodology and platform
The TIDE methodology, scoring engine, risk-flag taxonomy, question set, report templates, prompts, and the platform itself are the intellectual property of Itarck Ltd. Nothing in these terms transfers that ownership to you.
You may quote findings, scores, or recommendations from your Report in internal documents, board papers, or stakeholder communications, with attribution to TIDE / TIDEOS.
6. Voucher terms
- Single use. Each access code entitles a single Diagnostic session. Once redeemed, the code is consumed.
- Non-transferable. Vouchers are issued to a named organisation and may not be resold or transferred to a third party without our written consent.
- Expiry. Vouchers carry an expiry date set at issuance. After expiry the code is invalid and we are not obliged to honour or replace it.
- No refunds for redeemed codes.Once a code is redeemed and a Diagnostic session has started, we do not offer refunds. If a technical failure prevents a redeemed Diagnostic completing, contact us and we'll work to make it right (typically by reissuing the code or providing a replacement session).
- Refunds for unredeemed codes. If you bought a voucher directly from us and have not yet redeemed it, you may request a refund within 14 days of purchase under the UK Consumer Contracts Regulations, where they apply.
7. Acceptable use
You agree not to:
- Attempt to circumvent the access-code gate or use the paid Diagnostic without a valid voucher.
- Reverse-engineer, decompile, or otherwise attempt to extract the underlying methodology, scoring formulae, prompts, or risk-flag rules.
- Use automated scraping, crawlers, or bots against the service beyond normal browser interaction.
- Submit input designed to extract our system prompts, methodology, or training-style instructions from the AI facilitator (we treat prompt injection attempts as a breach of these terms).
- Use the service to harass, defame, or harm any individual, or to process the personal data of others without their consent or another lawful basis.
- Resell, sublicense, or otherwise commercially exploit access to the Diagnostic without a separate written agreement with us.
8. Limitation of liability
TIDE is an indicative diagnostic. The Report reflects the inputs you provide during the assessment, interpreted against our published methodology. It is not professional advice — legal, financial, strategic, or otherwise — and is not a substitute for due diligence, regulatory review, or independent expert judgement on any specific decision.
Decisions you take based on a Report are your own. We do not warrant that following any recommendation will produce a particular outcome.
To the maximum extent permitted by law, our total liability arising out of or in connection with the service (whether in contract, tort, negligence, statutory duty, or otherwise) is limited to the fees you have paid us for the relevant Diagnostic in the 12 months preceding the event giving rise to the liability. For the free Tier 1 Signal, this means our liability is limited to zero.
We do not exclude or limit any liability that cannot lawfully be excluded or limited, including for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or under any UK consumer protection law that applies.
9. Confidentiality
We treat the diagnostic content you submit as confidential. We do not use it for marketing, do not sell it, and do not share it outside the sub-processors listed in our Privacy Policy who help us deliver the service.
We may use aggregate, fully anonymised patterns across many Diagnostics to improve the methodology and the platform (for example, the distribution of dimension scores across all completions). Anonymised data of this kind cannot be tied back to your organisation or programme.
10. Suspension and termination
We may suspend or terminate your access to the service if you breach these terms, particularly the acceptable-use section, or if continued use poses a risk to the platform or to other users. Where reasonable, we'll contact you first to give you a chance to put things right.
You may stop using the service at any time. If you have an active paid voucher and have not started the Diagnostic, the refund policy in § 6 applies.
Termination doesn't affect rights and obligations that by their nature should survive, including ownership of intellectual property, limitations of liability, and the dispute-resolution clause below.
11. Governing law and disputes
These terms and any dispute arising under them are governed by the laws of England & Wales.
If you have a problem with the service, please contact us first at paul@thwaite.me.uk. We'll work in good faith to resolve it. If we can't reach agreement within 30 days, either party may pursue the matter in the courts of England & Wales, which have exclusive jurisdiction.
Nothing in this section prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction where necessary to protect intellectual property or confidentiality.
12. Changes to these terms
We may update these terms as the service changes. Material updates will be reflected here, and the "Last updated" date at the top will move. Where a change materially affects an in-flight or recently issued voucher, we'll contact you at the facilitator email address you provided.
